This lesson examines corporate governance, ethics, and value-based management as frameworks for ensuring that financial management decisions align with shareholder interests and ethical standards. It covers key governance principles, the agency problem, and the integration of ESG factors into financial management.

 

  • Corporate Governance and the Agency Problem: Corporate governance is the system of rules, practices, and processes by which a company is directed and controlled, addressing the agency problem—the conflict of interest between managers and shareholders. The ICAN syllabus requires examining how the organisation manages its stakeholder groups as part of its social responsibility and assessing the impact of investment and financing strategies on stakeholders .

  • Ethical and Governance Frameworks: This area covers the areas within the ethical and governance framework of the organisation that may be undermined by agency issues and/or stakeholder conflicts. Students learn to recommend strategies for dealing with these conflicts and to assess the impact of ethical and governance issues on the management of an organisation’s financial resources .

  • Value-Based Management (VBM): Value-Based Management is an approach that aligns the firm’s overall strategic objectives with the goal of maximising shareholder value. The role of a company’s head of finance is evolving from a CFO to a Chief Value Officer (CVO) . This involves integrating financial policies and corporate strategies to align with overall organisational goals and objectives .

  • Ethical Implications of Financial Strategy: Students learn to evaluate the ethical implications of an organisation’s financial strategy (for the organisation, individuals, and other stakeholders) and recommend appropriate courses of action to resolve any ethical dilemmas that may arise .
